You have just embarked on a journey to take VSC, a fast-growing and innovative company, to the public market. This simulator will guide you through the three main phases of the IPO process: preparation, marketing, and deal execution.

In the preparation phase, you will assess VSC’s financial readiness, legal and regulatory compliance, and corporate governance. You will review the company’s financial statements, accounting practices, and financial controls, and identify any issues or gaps that need to be addressed. You will also conduct a legal audit, ensure that VSC meets all applicable regulations, and address any compliance risks. Finally, you will evaluate VSC’s board structure, corporate policies, and governance framework, and make recommendations to enhance them.

In the marketing phase, you will develop and execute a strategy to attract and engage potential investors. You will identify target investors based on their profile, interest, and fit with VSC’s vision and goals. You will also prepare a compelling roadshow presentation that showcases VSC’s value proposition, growth potential, and competitive edge. You will plan investor meetings and events, and coordinate the logistics and schedule of the roadshow.

Additionally, you will draft a prospectus that provides detailed information about VSC’s business, financial performance, and risk factors. You will also create other marketing materials, such as fact sheets, brochures, and videos, to support your pitch. Furthermore, you will define key messages, train spokespeople, and develop a media plan to communicate effectively with the press and the public.

In the deal process phase, you will execute the IPO deal by selecting and negotiating with the underwriters, conducting due diligence and disclosure, filing and obtaining regulatory approval, and finalizing and executing the offering documents. You will choose the underwriters who will help you sell the shares, determine the offering price and size, and structure the underwriting agreement.

You will also conduct financial due diligence, prepare disclosure documents, and respond to due diligence requests from the underwriters and regulators. You will file the registration statement with the regulator, obtain regulatory clearance, and address any comments or questions from them. Finally, you will finalize the offering details, execute the offering documents, and celebrate the listing day.

After the IPO, you will determine a plan for stabilizing the market after the offering, monitoring the stock performance, and transitioning to market competition. You will learn how to work with the underwriters to support the trading activity, manage the supply and demand of the shares, and prevent any significant fluctuations in the price. You will also identify how to keep track of the market reaction, investor feedback, and analyst coverage, and adjust your strategy accordingly. Additionally, you will consider how to comply with the post-IPO reporting and disclosure requirements, and maintain good relations with the shareholders and the media. You will face new challenges and opportunities as a public company, and compete with other players in the industry.

This simulator will give you a realistic and engaging experience of the IPO process, from preparation to marketing to closing. You will learn about the financial, legal, and strategic aspects of an IPO, as well as the skills and challenges involved in communicating with investors, underwriters, regulators, and the media. You will also face various scenarios and dilemmas that will require you to make informed and timely decisions that will affect the outcome of the IPO.
